Enterprise Agreement

Supplemental terms for MyChatBot Team and Enterprise plan customers.

This Enterprise Agreement applies to customers who purchase a MyChatBot Team or Enterprise plan under an order form or written quote. It supplements and, where it conflicts, prevails over the standard Terms of Service for that subscription. Capitalized terms not defined here have the meaning given in the Terms of Service.

1. Subscription & scope

We will provide the Service described in your order form for the stated Subscription Term, the number of seats or usage volume purchased, and the plan tier selected. Enterprise plans may include features such as advanced administration, single sign-on, audit logging, expanded usage limits, and priority support, as described in the order form and Documentation.

2. Fees, invoicing & renewal

Fees, billing frequency, and payment terms are set out in your order form. The no-refund rule in Section 3(a-1) of the Terms of Service applies: once any message has been sent or any generation function executed in a billing period, Fees for that period are non-refundable. Unless the order form says otherwise, invoices are due within thirty (30) days of the invoice date. Enterprise subscriptions renew for successive terms of equal length unless either party gives notice of non-renewal at least thirty (30) days before the end of the current term. Usage above your purchased volume may be billed at the overage rate stated in the order form.

3. Administration & users

You are responsible for provisioning and managing your users and administrators. Administrators may access, configure, and remove user accounts and Customer Content within your organization. You will ensure your users comply with these terms, the Terms of Service, and the Acceptable Use Policy.

4. Security, privacy & SLA

Our Data Processing Addendum and Data Security commitments apply to your subscription. Where your order form includes a service-level commitment, the availability target and any service credits are described there and are your sole remedy for availability shortfalls. Enterprise accounts are opted out of de-identified data use by default.

5. Support

Enterprise customers receive the support tier stated in the order form, which may include a named contact, defined response times, and onboarding assistance.

6. Term & termination

Either party may terminate for the other’s material breach that remains uncured thirty (30) days after written notice. On termination you may export your Customer Content as described in our Data Retention / Deletion / Export schedule. The liability limits, disclaimers, indemnities, and governing-law provisions of the Terms of Service apply to this Agreement.

7. Order of precedence

If there is a conflict, the order form controls over this Enterprise Agreement, which controls over the Terms of Service, which controls over the Documentation, but only as to the conflicting subject matter.
